1. Agreement to terms

These Terms of Service (the “Terms”) are a binding agreement between ithouse ApS ("ithouse", "we", "us") and the individual or entity that registers for or uses our services ("you" or "Customer"). By creating an account, purchasing a plan, or otherwise using the services, you agree to these Terms.

If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

2. Definitions

  • Services — the managed hosting, security, CDN, monitoring, support, and related services we provide.
  • Dashboard — the control interface through which you manage your services.
  • Customer Content — the websites, applications, data, and files you host or transmit using the Services.
  • Plan — the subscription tier you select (Essential, Pro, or Business) and any add-ons.

3. The services

We provide Managed Enterprise Hosting designed for speed, security, reliability, and scale, including hosting for WordPress, PrestaShop, Magento, and PHP & Node.js applications, enterprise security, a global CDN, proactive monitoring, and 24/7 human support, as described on our website and in your selected Plan.

We may improve, modify, or add features over time. We will not materially reduce the core functionality of a paid Plan during a billing period without notice.

4. Account registration and security

You must provide accurate, complete registration information and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@ithouse.com of any unauthorised use or suspected security breach.

5. Plans, fees, and billing

Our standard plans are Essential (€99/mo), Pro (€199/mo), and Business (€499/mo). Fees are billed in advance on a recurring basis and are exclusive of applicable VAT and taxes.

  • Pay for what you use. Usage-based charges, where applicable, are billed in arrears. There are no per-host, per-node, or per-user charges.
  • Renewal. Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
  • No lock-in. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Late or failed payment may result in suspension after reasonable notice.

6. Acceptable use

You agree not to use the Services to host, transmit, or enable any content or activity that:

  • Is unlawful, infringing, defamatory, or violates the rights of others;
  • Distributes malware, conducts phishing, or attempts to gain unauthorised access to systems;
  • Sends unsolicited bulk email (spam) or violates anti-spam laws;
  • Disrupts or degrades the Services or other customers’ use of them;
  • Violates applicable export controls or sanctions.

We may investigate suspected violations and take appropriate action, including removing content or suspending the Services.

7. Customer content and responsibilities

You retain all rights to your Customer Content. You grant us the limited rights necessary to host, transmit, cache, back up, and display it solely to provide the Services. You are responsible for the legality of your Customer Content and for obtaining any consents required from your own users.

8. Service levels

We target high availability and publish uptime commitments for paid Plans. Where we fail to meet an applicable uptime commitment, your sole and exclusive remedy is a service credit calculated under our service level terms. Scheduled maintenance, factors outside our reasonable control, and your own configuration or content are excluded from uptime calculations.

9. Support

We provide 24/7 support from real engineers via email, chat, and phone, with response targets depending on your Plan and the severity of the issue. Support covers our platform and managed services; it does not include developing or debugging your application code, although our team will help where reasonably possible.

10. Intellectual property

The Services, including our software, dashboard, documentation, and brand, are owned by ithouse and protected by intellectual property laws. These Terms do not transfer any of our intellectual property to you, other than the limited right to use the Services as permitted here.

11. Data protection

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, our Data Processing Agreement forms part of these Terms and sets out each party’s obligations under the GDPR.

12. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to those who need it and are bound by similar obligations, or as required by law.

13. Warranties and disclaimers

We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

15. Indemnification

You agree to indemnify and hold ithouse harmless from third-party claims arising out of your Customer Content or your use of the Services in breach of these Terms or applicable law, except to the extent caused by our own negligence or wrongdoing.

16. Term and termination

These Terms apply for as long as you use the Services. Either party may terminate for material breach that remains uncured 30 days after written notice. On termination, your right to use the Services ends and we will make your Customer Content available for export for a limited period before deletion, as described in our Data Processing Agreement.

17. Suspension

We may suspend the Services, in whole or in part, where necessary to protect the platform or other customers, to address a security threat or acceptable-use violation, or for non-payment. We will give notice where reasonably practicable and restore the Services promptly once the issue is resolved.

18. Changes to the services or terms

We may update these Terms from time to time. We will post the revised Terms here and update the “Last updated” date, and where changes are material we will provide reasonable advance notice. Continuing to use the Services after changes take effect constitutes acceptance.

19. Governing law and jurisdiction

These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. The courts of Copenhagen, Denmark have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory consumer protections that may apply.

20. General

  • Entire agreement. These Terms, together with the Privacy Policy and Data Processing Agreement, are the entire agreement between us.
  • Assignment. You may not assign these Terms without our consent; we may assign them to a successor in connection with a merger or sale.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Notices. Legal notices to us should be sent to hello@ithouse.com.
